Robinhood Markets Inc. has agreed to pay $45 million to settle securities violation charges filed by the U.S. Securities and Exchange Commission (SEC). The charges specifically target two of Robinhood’s affiliated broker-dealers: Robinhood Securities LLC and Robinhood Financial LLC.
The SEC Charges
The SEC’s announcement outlined violations across up to 10 securities provisions, including failures to report suspicious trading promptly. The SEC also accused the broker-dealers of not implementing sufficient measures to prevent identity theft and failing to address unauthorized access to their computer systems. Additionally, Robinhood was cited for database management issues and for not adequately handling short-selling practices.
Sanjay Wadhwa, acting director of the SEC’s Division of Enforcement, emphasized the importance of broker-dealers meeting their legal obligations to ensure market integrity and protect investors.

In 2024, Robinhood Crypto, the brokerage’s digital assets arm, received a Wells Notice from the SEC, warning that it might have violated securities laws with its crypto listings. However, no formal lawsuit has been filed as of yet, and the issue remains unresolved as the end of Gary Gensler’s tenure as SEC Chairman draws near.
